Digilign ("we," "us," "our") operates digilign.com and provides digital marketing services to our clients. These Terms of Service ("Terms") govern your access to and use of our website and services. By using our website or engaging our services, you agree to these Terms. If you do not agree, please do not use our website or services.
Digilign provides digital marketing services, which may include advertising management, search and social optimization, email and SMS marketing, analytics and reporting, and social media management, including scheduling and publishing content to social media accounts our clients authorize us to manage on their behalf.
Where our services require access to a client's third-party platform accounts (such as Google Ads, Google Business Profile, Meta, TikTok, or similar), the client authorizes that access through each platform's official authorization process (for example, OAuth). We access and use only the data and permissions necessary to provide the requested services.
When a client engages us to publish content to their social media accounts, we publish content that the client has provided or approved. Clients retain ownership of and responsibility for their content. We publish in accordance with the terms, policies, and community guidelines of each platform, and we do not use platform access for any purpose other than delivering the services the client has requested. A client may direct us to pause or stop publishing at any time.
You agree not to use our website or services to post, transmit, or facilitate any content or activity that is unlawful, infringing, deceptive, or that violates the rights of others or the policies of any platform we use on your behalf.
Fees for services are as agreed in a separate proposal, order, or agreement between Digilign and the client. Unless otherwise agreed in writing, fees are due as invoiced.
Clients retain ownership of the content, brand assets, and materials they provide to us. Digilign retains ownership of its own website, software, tools, and methodologies. Nothing in these Terms transfers ownership of a party's pre-existing intellectual property to the other.
Our services rely on third-party platforms and APIs (such as Google, Meta, and TikTok). Your use of those platforms is also governed by their respective terms and policies. We are not responsible for changes to, or the availability, policies, or actions of, those third-party platforms.
Our services are provided on an "as is" and "as available" basis. While we work to deliver effective results, we do not guarantee any specific outcome, ranking, reach, or level of performance, which depend on factors outside our control, including third-party platform behavior.
To the maximum extent permitted by law, Digilign will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of our website or services.
Each party agrees to protect the other's non-public business information disclosed in the course of the engagement and to use it only for the purpose of providing or receiving the services.
Either party may terminate an engagement in accordance with the applicable agreement between us. Upon termination, we will cease providing services and, at the client's request, cease acting on the client's authorized accounts.
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles.
We may update these Terms from time to time. Changes will be posted on this page with an updated date. Your continued use of our website or services after changes are posted constitutes acceptance of the updated Terms.
